Acceptance of Terms

By accessing and using KeyEase ("the Platform"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by these terms, please do not use this service. These Terms of Service apply to all users of the Platform, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.

Description of Service

KeyEase is a comprehensive property management platform designed for rental agents, property managers, property owners, and property management companies. Our services include:

• Property portfolio management and tracking
• Document management and storage
• E-signature workflows for legal documents
• Maintenance request tracking and management
• AI-powered assistance and document analysis
• Financial reporting and analytics
• Communication tools for owners and tenants

User Accounts

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Platform.

You are responsible for:

• Safeguarding the password that you use to access the Platform
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account
• Ensuring that your account information remains accurate and up-to-date

Use License

Permission is granted to access and use KeyEase for personal and commercial property management purposes in accordance with your subscription plan. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the Platform's materials except as permitted
• Use the materials for any commercial purpose outside your subscription scope
• Attempt to decompile or reverse engineer any software contained on the Platform
• Remove any copyright or other proprietary notations from the materials
• Transfer the materials to another person or "mirror" the materials on any other server

Prohibited Uses

You may not use our Platform:

• For any unlawful purpose or to solicit others to perform unlawful acts
• To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances
• To infringe upon or violate our intellectual property rights or the intellectual property rights of others
• To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
• To submit false or misleading information
• To upload or transmit viruses or any other type of malicious code
• To collect or track the personal information of others
• To spam, phish, pharm, pretext, spider, crawl, or scrape
• For any obscene or immoral purpose
• To interfere with or circumvent the security features of the Platform

Subscription and Payment

Some features of the Platform require a paid subscription. By subscribing to a paid plan, you agree to:

• Pay all fees associated with your chosen subscription plan
• Provide accurate and complete billing information
• Authorize us to charge your payment method on a recurring basis
• Notify us of any changes to your payment information

Subscription fees are non-refundable except as required by law or as explicitly stated in our refund policy.

Intellectual Property

The Platform and its original content, features, and functionality are and will remain the exclusive property of KeyEase and its licensors. The Platform is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of KeyEase.

User Content

You retain ownership of any content you submit, post, or display on or through the Platform ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your User Content solely for the purpose of providing and improving our services.

You represent and warrant that you own or have the necessary rights to your User Content and that your User Content does not violate any third party's rights.

Third-Party Integrations

KeyEase integrates with third-party services to enhance functionality. By using these integrations, you agree to the following:

Google Services Integration

KeyEase offers optional integration with Google services including Gmail, Google Calendar, and Google Drive. When you connect your Google account:

• You authorize KeyEase to access your Google data as described in our Privacy Policy
• Your use of Google services remains subject to Google's Terms of Service
• You may revoke access at any time through KeyEase settings or your Google Account
• KeyEase is not responsible for any changes to Google's services or APIs

KeyEase's use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

Payment Processing

Payment processing is handled by Stripe. By making payments through KeyEase, you agree to Stripe's Terms of Service. KeyEase does not store complete credit card information on our servers.

AI Services

KeyEase uses artificial intelligence services (including OpenAI and Google AI) to provide document analysis, content generation, and intelligent assistance features. Content processed by AI services may be subject to the respective provider's terms. We recommend not submitting sensitive personal information to AI-powered features unless necessary for the intended functionality.

Service Availability

We reserve the right to withdraw or amend our Platform, and any service or material we provide, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Platform is unavailable at any time or for any period.

We do not warrant that the Platform will be uninterrupted, timely, secure, or error-free, or that defects will be corrected.

Limitation of Liability

In no event shall KeyEase, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Platform.

Indemnification

You agree to defend, indemnify, and hold harmless KeyEase and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from your use of and access to the Platform.

Termination

We may terminate or suspend your account and bar access to the Platform immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Platform or contact us to request account deletion.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
